Terms and Conditions of Use

IMPORTANT NOTICE REGARDING AUTOMATIC RENEWALS

The Service includes subscriptions that renew automatically. Please read these Terms carefully, especially Section 5, before starting a trial, purchasing introductory access, or completing any other purchase connected with an auto-renewing subscription.

To prevent a renewal charge, you must cancel before the end of the applicable trial, introductory period, or current billing cycle. When you purchase an auto-renewing subscription, you agree to the recurring nature of the subscription and to the price, billing frequency, renewal date, and other terms shown near the point of purchase. You acknowledge that the subscription will continue and the applicable payment method will be charged unless you affirmatively cancel in time.

Please complete cancellation through the method described at checkout, in your account settings, or in the applicable subscription instructions. If you subscribed or started a free trial through the Google Play Store or directly via our Website, please contact our support team at support@pdfleader.com for assistance. Deleting the App does not cancel your subscription or trial. You may wish to retain a copy or screenshot of the purchase and cancellation information for your records. Additional information is available in our Subscription Terms.

BINDING ARBITRATION & DISPUTE RESOLUTION

Section 11 explains how disputes between you and PDFLeader are resolved. In particular, it contains a binding arbitration agreement under which:

  • You agree to resolve covered disputes through final and binding arbitration rather than in court, subject to limited exceptions.
  • You waive the right to a jury trial and the right to commence or participate in a class, collective, representative, or consolidated action.
  • You may reject the arbitration agreement by following the procedure in Section 12.

Please read Sections 11 and 12 carefully because they materially affect your legal rights.

1. ACCEPTANCE OF TERMS

Agreement and Scope

These Terms and Conditions of Use (the "Terms") govern the legal relationship between you and Lopital Limited ("we," "us," "our," or the "Company") concerning your access to and use of the PDFLeader mobile application (the "App"), https://pdfleader.com (the "Website"), any related pages, user accounts, subscription features, and document-processing services offered under the PDFLeader name (collectively, the "Service"). The Service includes the software, interfaces, information, text, graphics, templates, files, tools, and other materials made available through it (collectively, the "Content").

By visiting, accessing, registering for, purchasing, or otherwise using any part of the Service, you confirm that you have read and understood these Terms and agree to be legally bound by them. If you do not agree, you must not use the Service and must cancel any active subscription and close your account, as applicable.

The English version of these Terms is the controlling version. Any translation is provided for convenience. If a translated version conflicts with the English version, the English version will prevail to the extent permitted by applicable law.

Additional Terms and Policies

Our Privacy Policy explains how personal information is collected, used, disclosed, and protected. Our Subscription Terms, Refund Policy, Cookie Policy, checkout disclosures, plan-specific terms, promotional conditions, and any other notices or policies displayed in connection with a feature or transaction form part of these Terms by reference. If a plan-specific term directly conflicts with these Terms, the more specific term will control for that plan or transaction, except where applicable law requires otherwise.

Changes to these Terms

We may revise these Terms where reasonably necessary to reflect changes to the Service, our business practices, technology, legal or regulatory requirements, security needs, contractual obligations, or exceptional circumstances. When required by law, we will provide notice of a material change before it takes effect.

Unless a different effective date is stated, an updated version becomes effective when posted on the Service. The "Last updated" date identifies the most recent revision. Your continued use after revised Terms become effective constitutes acceptance of the revised Terms. If you do not accept a revision, you must stop using the Service, cancel your subscription, and close your account.

Changes to the Service

We may introduce, test, modify, restrict, suspend, or discontinue any feature, content, tool, or part of the Service at any time, including to improve performance, maintain security, comply with law, respond to third-party requirements, or develop new functionality. Features may differ by device, browser, operating system, country, language, account status, or subscription plan.

2. ACCOUNT REGISTRATION

Creating an Account

Some Service features require an account. When registering, you must provide complete, accurate, and current information and follow any verification steps we reasonably require. An account is personal to the registered user unless we expressly approve another arrangement.

Your Responsibilities

You agree to keep your account information accurate and promptly update it when it changes. You are responsible for ensuring that your account and use of the Service comply with these Terms and all applicable laws. Inaccurate or outdated information may prevent us from delivering notices, receipts, service communications, or account-recovery assistance.

Age and Legal Capacity

The Service is intended only for persons who are at least 18 years old and legally capable of entering into a binding contract. By creating an account or purchasing the Service, you represent that you satisfy these requirements. Persons under 18 may not use the Service.

Account Suspension or Termination

We may suspend, restrict, or terminate your account or access to some or all of the Service if we reasonably believe that you have violated these Terms or applicable law; supplied false, misleading, or incomplete information; engaged in fraud, abuse, unauthorized activity, or security threats; failed to pay amounts due; or created risk for the Company, other users, or third parties. Where appropriate and legally permitted, we may provide notice or an opportunity to remedy the issue.

Suspension or termination may result in loss of access to stored files, account settings, subscription benefits, or generated output. You are responsible for downloading any files you wish to retain before closing your account or allowing a subscription to expire.

Account Security

You are responsible for safeguarding your login credentials and for activity carried out through your account. Do not share passwords or authentication information. Notify us promptly at support@pdfleader.com if you suspect unauthorized use, credential compromise, or another security incident affecting your account.

To the maximum extent permitted by law, we are not responsible for losses caused by your failure to use reasonable security measures or protect your credentials. We may require you to reset a password, complete identity or payment verification, or take other protective steps before restoring access.

3. USE OF THE SERVICE

Service Description

PDFLeader provides browser-based and mobile application tools for working with documents and supported media. Depending on the feature and subscription plan, the Service may allow users to view, edit, annotate, fill, sign, merge, split, organize, compress, scan, and convert PDF files and other supported formats. Available conversion formats may include Word, Excel, PowerPoint, JPG, PNG, EPUB, audio, video, text, and other formats displayed in the Service.

The Service may also include optical character recognition (OCR), image-to-text extraction, PDF translation, audio or video transcription, text-to-speech, form-filling, file storage, and other automated utilities. We may add, remove, rename, bundle, or modify tools and formats from time to time. Some features may be offered as part of a base subscription, an add-on, a promotion, or a separate product package.

Templates, Forms, and Fillable Documents

Templates, official-looking forms, fillable documents, instructions, sample language, and related resources available through the Service (collectively, "Forms") are general-purpose software tools. They are not prepared for your specific facts, jurisdiction, filing requirement, transaction, or professional needs.

The Company provides technology, not legal, tax, accounting, financial, medical, immigration, compliance, or other professional services. Making a Form available does not constitute professional advice or create an attorney-client, accountant-client, fiduciary, or other professional relationship. We do not review or approve information you enter, determine whether a Form is suitable, or guarantee that a Form will be accepted by a court, government agency, employer, counterparty, or other recipient.

Before using, signing, filing, or relying on a Form, you must independently verify that it is current, complete, accurate, and suitable for the intended jurisdiction and purpose. You should obtain advice from a qualified professional when the Form concerns legal rights, tax obligations, regulated filings, healthcare, immigration, financial matters, or any other matter that may have material consequences.

You are solely responsible for all information entered into a Form, all calculations and selections, all signatures, all filing deadlines, and all decisions to execute, submit, or rely on the resulting document. Laws, regulations, agency instructions, and filing requirements may change without notice. We do not warrant that any Form reflects the latest requirements or is enforceable in a particular jurisdiction.

Automated Processing Tools

OCR, translation, transcription, text-to-speech, conversion, compression, scanning, extraction, and other automated tools may rely on software models, algorithms, or third-party components. Output may contain errors, omissions, formatting changes, mistranslations, misrecognitions, timing inaccuracies, or loss of information. Automated output is not an authoritative substitute for the original file.

You must review the original file and verify all output before using it for a legal, financial, academic, medical, regulatory, professional, or other important purpose. We do not guarantee that automated processing will preserve layout, meaning, accessibility, metadata, formulas, signatures, embedded content, hyperlinks, or document integrity.

When uploading or processing a file, you represent that you own the file or have all rights, permissions, consents, and lawful bases necessary to use and process it through the Service. You must not use the Service to convert, unlock, extract, translate, transcribe, or otherwise process content in violation of copyright, privacy, confidentiality, data-protection, access-control, contractual, or other rights.

Ownership and Intellectual Property

The Service, including its software, interfaces, workflows, design, databases, documentation, trademarks, logos, and Company-provided content, is owned by the Company or its licensors and is protected by intellectual-property and other laws. Except for the limited license expressly granted below, these Terms do not transfer any ownership right to you.

License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your personal or internal business document needs. This license allows you to install and use the App on your personal mobile device. You may not resell, rent, commercially exploit, copy, modify, distribute, reverse-engineer, or create a competing product from the Service except to the limited extent such restriction is prohibited by law.

Your Content

As between you and the Company, you retain ownership of documents, images, audio, video, text, information, communications, and other materials you upload, import, create, or process through the Service ("Your Content"). We do not claim ownership of Your Content.

You are solely responsible for Your Content and for ensuring that its collection, upload, processing, sharing, storage, and use comply with applicable law and third-party rights. You must not upload content that is unlawful, infringing, fraudulent, malicious, abusive, defamatory, or obtained without required authorization.

Features that remove passwords, access restrictions, or technical protections may be used only on files that you own or are authorized to modify. You represent and warrant that you have the lawful authority to use such features. We prohibit unauthorized decryption, circumvention, unlocking, or alteration of third-party files.

License to Process Your Content

For the limited purpose of operating, securing, supporting, and improving the Service on your behalf, you grant the Company and its service providers a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, store, format, convert, display, and otherwise process Your Content as technically necessary to provide the requested functionality. This license ends when the relevant content is deleted from our systems, subject to reasonable backup, security, legal, and compliance retention periods described in our Privacy Policy.

Content Access After Termination

After your subscription ends or your account is closed, Your Content may become unavailable immediately or after a limited retention period. We may provide advance notice where reasonably practicable, but you should not rely on the Service as your only storage location. Download and maintain independent copies of important files.

YOU ACKNOWLEDGE THAT CONTENT NOT DOWNLOADED BEFORE TERMINATION OR EXPIRATION MAY BE PERMANENTLY DELETED AND MAY NOT BE RECOVERABLE.

Sensitive and Restricted Information

Use caution before uploading confidential or sensitive information. Unless a feature expressly states otherwise and you have a lawful basis to do so, do not upload passwords, full payment-card data, authentication secrets, trade secrets, government identification numbers, medical records, biometric data, children's personal information, or other information subject to heightened legal or contractual protection. You are responsible for determining whether the Service is appropriate for your data and for applying any required redaction, encryption, access controls, notices, and consents.

Service Availability and Browser Requirements

We do not guarantee uninterrupted availability. Maintenance, outages, capacity limits, security events, connectivity problems, third-party failures, file characteristics, or device and browser limitations may affect performance. Use a current supported browser when accessing the Website and a supported version of Android when using the App, and keep your device and security software updated.

Reviews and Feedback

If you submit a rating, review, testimonial, suggestion, or other feedback about the Service through the Google Play Store, the Website, another platform, or directly to us ("Feedback"), you grant the Company and its affiliates a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable right to use, reproduce, adapt, publish, translate, display, distribute, and create derivative works from the Feedback for lawful business purposes, including product development, support, marketing, and advertising, without additional compensation.

We may use Feedback with a publicly displayed username or profile image where available, unless you request anonymity in writing. We are not obligated to publish or retain Feedback and may moderate or remove it. To request removal of Feedback submitted directly to us, contact support@pdfleader.com.

Customer Support

Customer support is provided at the Company's discretion and may be subject to availability, verification, and reasonable use requirements. We do not guarantee a particular response time or outcome. For assistance, contact support@pdfleader.com.

4. THIRD-PARTY SERVICES, MATERIALS, AND ADVERTISING

Third-Party Components and Links

The Service may integrate with, link to, display, or rely on third-party websites, software, payment processors, cloud providers, fonts, file-format libraries, advertising, content, or other services (collectively, "Third-Party Services"). Third-Party Services are governed by their own terms, policies, availability, and technical requirements.

No Endorsement or Control

Unless expressly stated, the Company does not own, control, endorse, verify, or assume responsibility for Third-Party Services or for the accuracy, legality, quality, security, or reliability of third-party materials. Your dealings with a third party are solely between you and that third party. You are responsible for reviewing the third party's terms and privacy practices.

Third-Party Advertising

The Service may include sponsored content, promotions, or external links. Their presence does not imply affiliation, endorsement, or warranty. Any purchase, communication, or other interaction with an advertiser or external provider is undertaken at your own risk.

No Liability for Third-Party Materials

To the maximum extent permitted by law, the Company disclaims responsibility for loss, damage, malware, phishing, data practices, disputes, service interruptions, or other harm arising from Third-Party Services. If you encounter harmful or misleading content, you may report it to us, but we are not required to investigate or remove it unless the law requires us to do so.

5. SUBSCRIPTION FEES AND PAYMENT

Subscription Options and Purchases

Subscriptions may be purchased directly through the Website ("Web Purchase") or through the Google Play Store ("In-App Purchase").

Paid access may be offered through trials, introductory offers, weekly, monthly, quarterly, annual, or other subscription periods. The price, currency, billing frequency, initial term, renewal term, taxes, introductory conditions, and amount due at the time of purchase will be displayed at checkout before you authorize payment. Available offers may vary by region, device, marketing channel, product bundle, eligibility, or purchase date.

Some limited tools may be available without payment, while full functionality or continued use may require a paid subscription. You are responsible for reviewing all checkout information before completing a purchase.

Payment Authorization and Processing

By selecting a plan and submitting payment details, you authorize the Company and its payment processors to charge the payment method you provide for the amounts disclosed at checkout, including recurring subscription fees, applicable taxes, and any add-ons you affirmatively select. Access may begin after payment authorization or completion of any stated trial or verification process.

Payments are processed by third parties. We do not control bank authorization times, foreign-exchange rates, conversion charges, card-network fees, or payment-provider policies. You must provide valid and current payment information and are responsible for charges imposed by your bank or payment provider.

For Web Purchases, payments are handled by third-party payment processors. For In-App Purchases, payments are processed through the Google Play Store, and the applicable Google Play terms and policies govern the transaction.

Payment Retries

If a recurring payment fails because of insufficient funds, an expired card, an issuer decline, or another processing issue, you authorize reasonable retry attempts using the same payment method. Where disclosed, permitted by law, and made available to you, we may offer an alternative plan or promotional rate to restore or continue access. If payment remains unsuccessful, we may suspend or cancel the subscription.

Automatic Renewal and Subscription Continuity

Unless canceled, each subscription automatically renews for the renewal period and at the renewal price disclosed at purchase or in a later legally compliant notice. Renewal charges will be made to your selected payment method. Promotional or introductory pricing ordinarily applies only for the stated introductory period and may renew at the regular price shown at checkout.

To avoid a renewal charge, you must complete cancellation before the renewal date. Cancellation instructions are available through account settings, the cancellation method presented during purchase, or customer support where applicable. For In-App Purchases, cancellation must be completed through your Google Play account settings. Deleting the App does not cancel your subscription or trial. Merely deleting an account, uninstalling software, blocking a card, or ceasing to use the Service does not necessarily cancel a subscription.

During the cancellation process, we may present optional retention offers, discounted plans, temporary access, feature-limited plans, or other alternatives. You are not required to accept an offer and may continue to complete cancellation.

Add-Ons and Additional Services

The Service may offer optional add-ons, premium tools, additional storage, content packages, consultations, or other services. An add-on may be a one-time purchase or a recurring charge, as disclosed before purchase. Canceling the main subscription will generally cancel associated recurring add-ons unless stated otherwise. Canceling an add-on does not automatically cancel the main subscription.

Refunds

Except where mandatory law requires otherwise, purchases are non-refundable and non-exchangeable after access has been provided or a billing period has begun. The Company may grant a refund or credit at its discretion under a published policy, promotion, service-recovery decision, subscription transition, or other internal eligibility rule. Any discretionary refund does not create an obligation to issue future refunds.

If you subscribed or started a free trial through the Google Play Store or directly via our Website, please contact our support team at support@pdfleader.com for assistance.

Nothing in these Terms limits a refund, cancellation, or other remedy that cannot lawfully be excluded. Please review the Refund Policy for the process and any additional eligibility criteria.

Right of Withdrawal for EU and UK Residents

If you reside in the European Union or the United Kingdom, you may have a statutory right to withdraw from a contract for digital services within 14 days after the contract is concluded, without giving a reason, subject to applicable exceptions and rules concerning performance begun at your request.

To exercise a right of withdrawal, send an unambiguous statement to support@pdfleader.com before the withdrawal period expires. You may use the model form below, but its use is not mandatory.

When a valid withdrawal right is exercised, we will reimburse payments as required by law, generally using the same payment method, unless another method is expressly agreed. If you requested that digital services begin during the withdrawal period, you may be required to pay a proportionate amount for services supplied before withdrawal. If you expressly consented to immediate delivery of digital content and acknowledged loss of the withdrawal right, the right may no longer apply once delivery begins.

Chargebacks and Payment Disputes

Before initiating a chargeback or payment reversal, we encourage you to contact support@pdfleader.com so that we can review the transaction and attempt to resolve the issue. Refunds are not instantaneous and may take at least 15 business days, or longer depending on the payment provider, to appear after issuance.

You may not obtain duplicate reimbursement for the same transaction. If you receive a refund from us, you agree not to pursue a separate chargeback for that transaction unless our refund fails or is reversed. If duplicate reimbursement occurs, we may provide evidence to the payment provider and seek reversal of the duplicate amount.

A chargeback may result in suspension or termination of the account associated with the disputed payment. Fraudulent, abusive, or knowingly false chargebacks may lead to a permanent restriction and other lawful remedies. We may share relevant account and transaction information with payment processors, banks, card networks, and fraud-prevention providers as described in our Privacy Policy.

Trials and Promotional Offers

We may offer free, discounted, or nominal-price introductory access for a specified period. The duration, amount due, conversion date, renewal price, and cancellation deadline will be shown at sign-up. Unless canceled before the stated deadline, an eligible trial or introductory plan will convert to the paid subscription described at checkout.

Unless applicable law requires a reminder, you are responsible for tracking the end of a trial or promotional period. We may modify, limit, revoke, or deny an offer where permitted by law, including to prevent abuse or enforce eligibility requirements.

Promotional Codes

Promotional codes, credits, gift offers, or similar benefits may be subject to expiration dates, account limits, geographic restrictions, and other conditions. Unless expressly stated, they have no cash value, are non-transferable, may not be resold, and cannot be combined with other offers.

Changes to Subscription Fees

To the maximum extent permitted by law, we may change subscription fees. When notice is required, we will provide it in the legally required manner and timeframe, such as by email, notice in the App, account notice, or another prominent communication. The revised price will apply from the date stated in the notice. You may cancel before the new price takes effect if you do not agree to it.

Failure to Pay and Service Termination

If an amount is not paid when due, we may ask you to update the payment method, restrict paid functionality, suspend access, or terminate the subscription. Associated files or settings may become inaccessible or be deleted under the applicable retention policy. We are not responsible for restoring content that has been deleted after nonpayment or termination.

  • Sending spam, unsolicited commercial communications, or deceptive messages.
  • Impersonating another person, misrepresenting affiliation, or using another person's payment method or account without authorization.
  • Using the Service to create, alter, or submit fraudulent identification, credentials, evidence, records, government forms, or other documents.
  • Using output to make a fully automated high-impact decision about another person without legally required human review and safeguards.
  • Any conduct that materially harms the Company, the Service, users, third parties, or the reputation or security of the Service.

Respectful Conduct Toward Support Personnel

Communications with customer-support and other personnel must remain professional and respectful. Harassment, threats, hate speech, repeated abuse, or offensive conduct may result in communication restrictions, account suspension, or termination.

  • ALL DEFECTS OR ERRORS WILL BE IDENTIFIED OR CORRECTED; OR
  • THE SERVICE WILL BE FREE OF MALWARE, VULNERABILITIES, OR THIRD-PARTY INTERFERENCE.

ANY FILE, OUTPUT, DATA, OR INFORMATION OBTAINED THROUGH THE SERVICE IS USED AT YOUR DISCRETION AND RISK. YOU ARE RESPONSIBLE FOR BACKUPS, VERIFICATION, SECURITY, AND ANY DAMAGE OR DATA LOSS RESULTING FROM YOUR USE.

No Professional Advice

INFORMATION, FORMS, INSTRUCTIONS, AUTOMATED OUTPUT, AND OTHER MATERIALS PROVIDED THROUGH THE SERVICE ARE GENERAL INFORMATION AND SOFTWARE OUTPUT ONLY. THEY DO NOT CONSTITUTE LEGAL, TAX, FINANCIAL, MEDICAL, ACCOUNTING, COMPLIANCE, IMMIGRATION, OR OTHER PROFESSIONAL ADVICE. CONSULT AN APPROPRIATELY QUALIFIED PROFESSIONAL BEFORE ACTING ON IMPORTANT MATTERS.

Service Modifications

We may change, suspend, or discontinue features, content, availability, prices, or technical requirements. To the maximum extent permitted by law, we are not liable for loss or inconvenience caused by such changes, subject to any non-waivable consumer rights.

Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a consumer guarantee, statutory remedy, or other right that cannot lawfully be waived. Where applicable law grants you mandatory rights, those rights remain in effect and these disclaimers apply only to the maximum extent permitted.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, CONTENT, PRODUCTS, THIRD-PARTY SERVICES, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

YOUR ACCESS TO AND USE OF THE SERVICE, YOUR CONTENT, AUTOMATED OUTPUT, THIRD-PARTY MATERIALS, AND ANY DECISION MADE IN RELIANCE ON THEM ARE AT YOUR OWN RISK. YOU ARE RESPONSIBLE FOR DAMAGE TO DEVICES, LOSS OF DATA, MISSED DEADLINES, REJECTED FILINGS, OR OTHER HARM ARISING FROM YOUR USE.

Aggregate Liability Cap

NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, PRODUCTS, CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED EUROS (€100).

THESE LIMITATIONS ARE A FUNDAMENTAL PART OF THE AGREEMENT AND APPLY REGARDLESS OF THE FORM OF ACTION OR WHETHER A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Waiver of Unknown Claims for California Residents

IF YOU ARE A CALIFORNIA RESIDENT, YOU EXPRESSLY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES:

"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU MAY BE WAIVING RIGHTS RELATING TO UNKNOWN OR UNSUSPECTED CLAIMS.

Jurisdiction-Specific Exceptions

Some jurisdictions do not permit certain warranty exclusions, damage exclusions, or liability limits. If a limitation is unenforceable in your jurisdiction, it will apply only to the maximum extent permitted, and the remaining provisions will continue in effect. Additional mandatory rights may apply based on your place of residence.

9. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, parents, officers, directors, employees, agents, partners, contractors, licensors, service providers, successors, and assigns (each an "Indemnitee") from and against losses, damages, liabilities, claims, demands, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal and professional fees, arising directly or indirectly from:

  • Your Content, including allegations that it infringes a third party's rights or violates law;
  • Your breach of these Terms or any incorporated policy;
  • Your access to or use of the Service, including processing, editing, unlocking, signing, filing, or sharing documents;
  • Your violation of law, regulation, contractual duty, privacy obligation, or third-party right; or
  • Property damage, personal injury, or other harm resulting from your unlawful or prohibited use of the Service.

The Company may assume exclusive control of the defense, negotiation, and settlement of a matter subject to indemnification. You must reasonably cooperate and may not settle a claim that imposes liability, admissions, or obligations on an Indemnitee without the Company's prior written consent.

10. INTERNATIONAL USE

The Company does not represent that the Service is appropriate, lawful, or available in every jurisdiction. Access is prohibited where doing so would violate applicable law. You access and use the Service on your own initiative and are responsible for local legal, regulatory, tax, sanctions, export-control, consumer-protection, filing, and professional requirements.

11. INFORMAL DISPUTE RESOLUTION PROCEDURES AND ARBITRATION

PLEASE READ THIS PROVISION CAREFULLY TO ENSURE THAT YOU UNDERSTAND—THIS SECTION CONTROLS HOW DISPUTES BETWEEN YOU AND THE COMPANY WILL BE ADDRESSED.

BY AGREEING TO THIS PROVISION, YOU ARE WAIVING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT AND YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.

YOU ARE ALSO AGREEING TO RESOLVE ALL DISPUTES BETWEEN YOU AND THE COMPANY THROUGH BINDING ARBITRATION, UNLESS YOU EXERCISE YOUR RIGHT TO REJECT ARBITRATION AS PROVIDED BELOW.

You and Lopital Limited ("we" or the "Company") agree to resolve all Disputes through binding arbitration, as described below, except for: (i) claims that fall within the jurisdiction of a small claims court, provided such claims are not class action disputes and also meet the court's jurisdictional and monetary limits; and (ii) disputes related to intellectual property rights.

A "Dispute" means any claim, controversy, or legal action—whether arising from past, present, or future events, and based on contract, tort, statute, or common law—between you and the Company regarding the Website, Services, or this agreement (the "Arbitration Agreement"). "Dispute" also includes disputes about the interpretation, applicability, or enforceability of these terms or the formation of this Arbitration Agreement, including whether any part of it is invalid or unenforceable.

Mandatory Pre-Filing Notice Procedure

You and we agree that good faith, informal efforts to resolve disputes often result in a faster and less expensive outcome. Therefore, if you intend to assert a claim for any Dispute (as defined above) against the Company, you must first send the Company a written notice of the Dispute ("Notice") that gives the Company some basic information about you and the Dispute.

Any Notice must include (i) your name, address, and email address, (ii) a detailed description of your Dispute; (iii) any relevant facts regarding your use of the Website and Service (including your account ID, profile screenshots, and anything else that will help us identify your account); (iv) a detailed description of the relief you are seeking, including a calculation of any money damages you are seeking; and (v) a personally signed statement from you (and not your attorney) verifying the accuracy of the information in Notice.

The Notice must be individualized, meaning it can concern only your dispute and no other person's dispute. If you are filling out a Notice for another person, you must include all information described above, and also a statement describing your relationship to the person and why the person is unable to fill out the Notice for themselves.

You must send the Notice to the Company at the following address:

Ezekia Papaioannou 14, Flat/Office 101, 1075 Nicosia, Cyprus
Attention: Legal PDF Leader

If we need to send you a Notice, we will send the Notice to you at the contact information we have available for you, which may include, if applicable, the contact information associated with your account.

After we receive a Notice, you and we agree to engage in good faith efforts to resolve the Dispute between us for a period of 60 days through informal negotiation. The 60-day period can be extended if you and we agree that such an extension is likely to lead to a resolution. As part of the informal negotiation process, you and we agree that we will both attend at least one individualized video conference ("Video Conference").

The Video Conference can be via Zoom, Microsoft Teams, WhatsApp, or any other similar platform that you and we agree on and that we both have access to. The Video Conference can be held after the 60-day period, if necessary. If you are represented by an attorney in your Dispute, your attorney may participate in the Video Conference, but you are still required to attend and participate in good faith.

The Company is also required to participate in the Video Conference by sending one or more of its representatives, and the Company may also send one or more of its attorneys. If you are unable to participate in the Video Conference by video, you may attend telephonically if you certify in writing that circumstances exist that prevent you from appearing by video (such as your lack of access to a phone with a working camera or your inability to connect to a stable internet connection).

You and we agree that we (and our attorneys, if represented) shall work cooperatively to schedule the Video Conference at the earliest mutually convenient time after we receive a Notice. You and we also agree to use our best efforts to resolve the Dispute at the Video Conference.

If you and we cannot resolve the issues identified in the Notice within 60 days after the completed Notice is received (or a longer time if agreed), you or we may commence an arbitration proceeding or a small claims court proceeding.

Compliance with these Informal Dispute Resolution Procedures is Mandatory and Pre-Filing Notice procedures (including the Video Conference requirement) are a condition precedent to initiating any arbitration or small claims court action. Failure to follow the procedures is a breach of this Arbitration Agreement.

The Mandatory Pre-Filing Notice procedures are essential so that you and the Company have a meaningful opportunity to resolve Disputes in an inexpensive and efficient manner. Unless prohibited by applicable law, the arbitration provider shall not accept or administer any demand for arbitration unless the party bringing the demand for arbitration certifies in writing that the Mandatory Pre-Filing Notice procedures (including the Video Conference requirement) were fully satisfied.

If the party bringing the demand for arbitration fails to include a written certification that the Pre-Filing Notice procedures (including the Video Conference) were met, then the arbitration forum shall administratively close the demand for arbitration and no fees shall be due from the responding party. A court of competent jurisdiction shall have authority to enforce this provision and to enjoin any arbitration proceeding or small claims court action accordingly.

All offers, promises, conduct, and statements made in the course of the Mandatory Pre-Filing Notice process by any party, its agents, employees, and attorneys are confidential and not admissible for any purpose in any subsequent proceeding (except as required to certify in writing that the Mandatory Pre-Filing Notice procedures were completed before submitting a demand for arbitration).

Evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable by this section.

Small Claims Court

Subject to applicable jurisdictional requirements and the Mandatory Pre-Filing Notice requirements explained above, you or the Company may elect to pursue a Dispute in a local small claims court rather than through arbitration, so long as the matter remains in small claims court and proceeds only on an individual basis.

If a party has already submitted an arbitration demand, the other party may, in its sole discretion, inform the arbitral forum that it chooses to have the Dispute heard in small claims court. At that time, the arbitral forum will administratively close the arbitration and the Dispute will be heard in the appropriate small claims court, with no fees due from the arbitration respondent.

What is Arbitration?

Arbitration is a more informal way to resolve our disagreements than a lawsuit in court. For instance, arbitration uses a neutral arbitrator instead of a judge or jury, involves more limited discovery, and is subject to very limited review by courts. Although the process is more informal, arbitrators can award some of the same individualized damages and relief that a court can award.

An arbitrator cannot, however, order a party to act or stop doing something—this is known as "equitable relief." Either you or we can go to court and seek equitable relief, including by filing a motion to compel the other party to follow this Arbitration Agreement. However, you and we agree that the only courts where we will seek equitable relief are the state and federal courts in Delaware. This exception for equitable relief does not waive this Arbitration Agreement. You and we agree that the U.S. Federal Arbitration Act and federal arbitration law govern the interpretation and enforcement of this provision. A court of competent jurisdiction has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement. This arbitration provision shall survive termination of these terms and the termination of your account.

CLASS ACTION AND JURY TRIAL WAIVER

TO THE FULLEST EXTENT ALLOWABLE BY LAW, YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO LITIGATE DISPUTES IN COURT IN FAVOR OF ARBITRATION (EXCEPT FOR SMALL CLAIMS COURT DESCRIBED ABOVE). YOU AND THE COMPANY EACH WAIVE THE RIGHT TO FILE OR PARTICIPATE IN A CLASS ACTION LAWSUIT AGAINST THE OTHER, INCLUDING ANY CURRENTLY PENDING ACTIONS AGAINST THE COMPANY.

TO THE FULLEST EXTENT ALLOWABLE BY LAW, THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE LITIGATED IN COURT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED BASIS.

EXCEPT FOR THE MASS FILING PROCEDURES DESCRIBED BELOW, YOU AND WE AGREE THAT

  • THE ARBITRATOR MAY ONLY AWARD FINAL RELIEF IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE FINAL RELIEF WARRANTED BY THAT INDIVIDUAL PARTY'S CLAIM.
  • THE ARBITRATOR MAY NOT AWARD FINAL RELIEF FOR, AGAINST, OR ON BEHALF OF ANYONE WHO IS NOT A PARTY TO THE ARBITRATION ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS.

IF A COURT DETERMINES THAT ANY OF THE PROHIBITIONS IN THIS PARAGRAPH ARE UNENFORCEABLE FOR A PARTICULAR CLAIM OR REQUEST FOR RELIEF, AND ALL APPEALS OF THAT DECISION ARE AFFIRMED AND SUCH DECISION BECOMES FINAL, THEN YOU AND THE COMPANY AGREE THAT PARTICULAR CLAIM OR REQUEST FOR RELIEF SHALL PROCEED IN COURT BUT SHALL BE STAYED PENDING INDIVIDUAL ARBITRATION OF THE REMAINING CLAIMS FOR RELIEF THAT YOU HAVE BROUGHT.

Arbitration Procedure

The arbitration will be governed by applicable rules of National Arbitration & Mediation ("NAM") (including the Comprehensive Dispute Resolution Rules and Procedures and the Supplemental Rules for Mass Arbitration Filings, as applicable) ("NAM Rules"), as modified by this Arbitration Agreement, and will be administered by NAM. The NAM Rules are available online at www.namadr.com or by requesting them in writing at the Notice address listed above.

You may obtain a form to initiate arbitration with NAM at https://www.namadr.com/content/uploads/2024/03/Comprehensive-Demand-for-Arb-revised-3.21.2024.pdf or by contacting NAM.

If NAM is unavailable or unwilling to do so, another arbitration provider shall be selected by the parties for that purpose, or if the parties are unable to agree on an alternative administrator, by the court pursuant to 9 U.S.C. §5.

You and we agree that the party initiating arbitration must submit a written certification that they have complied with and completed the Mandatory Pre-Filing Notice and Informal Dispute Resolution Procedures requirements enclosed with any demand for arbitration. The demand for arbitration and certification must be personally signed by the party initiating arbitration (and their attorney, if represented).

The arbitration will be in English. A single independent and impartial arbitrator will be appointed remotely pursuant to the NAM Rules, as modified herein.

You and the Company agree to comply with the following rules, which are intended to streamline the dispute resolution process and reduce the costs and burdens on the parties: (i) the arbitration will be conducted online and/or be solely based on written submissions, the specific manner to be chosen by the party initiating the arbitration; (ii) the arbitration will not require any personal appearance by the parties or witnesses unless otherwise mutually agreed in writing by the parties or the arbitrator decides that a formal hearing is necessary; and (iii) any judgment on the award the arbitrator renders may be entered in any court of competent jurisdiction.

If an in-person hearing is required and you reside in the United States, the hearing will take place in Delaware, unless the arbitrator determines that this would pose a hardship for you, in which case the in-person hearing may be conducted in the claimant's state and county of residence or unless the substantive laws of the state where your claim arose requires otherwise. If you reside outside the United States, the site of any in-person hearing will be determined by the NAM Rules.

The award of the arbitrator will be in writing and will include a statement setting forth the reasons for the disposition of any claim. The arbitrator will apply the laws of Nevada in conducting the arbitration. You acknowledge that these terms and your use of the Service evidences a transaction involving interstate commerce. The United States Federal Arbitration Act will govern the interpretation, enforcement, and proceedings.

The Arbitrator is bound by and shall adhere to this Arbitration Agreement. In the event NAM Rules conflict with this Arbitration Agreement, the terms of this Arbitration Agreement shall control.

If the Arbitrator determines that strict application of any term of this Arbitration Agreement would result in a fundamentally unfair arbitration, then the Arbitrator shall have the authority to modify such term to the extent necessary to ensure a fundamentally fair arbitration that is consistent with efficient and inexpensive resolution of Disputes.

Unless you and the Company otherwise agree, the arbitration will be conducted virtually via video or teleconference.

Decision of the Arbitrator

Barring extraordinary circumstances, the arbitrator will issue their decision within 120 days from the date the arbitrator is appointed. The arbitrator may extend this time limit for an additional 30 days in the interests of justice. All arbitration proceedings will be closed to the public and confidential, and all records relating thereto will be permanently sealed, except as necessary to obtain court confirmation of the arbitration award.

The award of the arbitrator will be in writing and will include a statement setting forth the reasons for the disposition of any claim.

The arbitration award is binding only between you and the Company and will not have any preclusive effect in another arbitration or proceeding that involves a different party.

Fees

The payment of arbitration fees (the fees imposed by the arbitration administrator, including filing, arbitrator, and hearing fees) will be governed by the applicable NAM Rules, unless you qualify for a fee waiver under applicable law.

If after exhausting any potentially available fee waivers, the arbitrator finds that the arbitration fees will be prohibitive for you as compared to litigation, we will pay as much of your filing, arbitrator, and hearing fees in the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive, regardless of the outcome of the arbitration, unless the arbitrator determines that your claim(s) were frivolous or brought for an improper purpose or asserted in bad faith.

You and we agree that arbitration should be cost-effective for all parties and that any party may engage with NAM to address the reduction or deferral of fees.

Confidentiality

Upon either your or our request, the Arbitrator will issue an order requiring that confidential information of either party disclosed during the arbitration (whether in documents or orally) may not be used or disclosed except in connection with the arbitration or a proceeding to enforce the arbitration award, and that any permitted court filing of confidential information must be done under seal.

Settlement Offers and Offers of Judgment

At least ten (10) calendar days before the date set for the arbitration hearing, you or the Company may serve a written offer of judgment upon the other party to allow judgment on specified terms. If the offer is accepted, the offer with proof of acceptance shall be submitted to the arbitration provider, who shall enter judgment accordingly.

If the offer is not accepted prior to the arbitration hearing or within thirty (30) calendar days after it is made, whichever occurs first, it shall be deemed withdrawn, and cannot be given as evidence in the arbitration.

If an offer made by one party is not accepted by the other party, and the other party fails to obtain a more favorable award, the other party shall not recover their post-offer costs and shall pay the offering party's costs from the time of the offer (which, solely for purposes of offers of judgment, may include reasonable attorneys' fees to the extent they are recoverable by statute, in an amount not to exceed the damages awarded).

The parties agree that any disputes with respect to settlement offer(s) or offer(s) of judgment in a Mass Filing are to be resolved by a single arbitrator to the extent such offers contain the same material terms. For arbitrations involving represented parties, the represented parties' attorneys agree to communicate individual settlement offer(s) or offer(s) of judgment to each and every arbitration claimant or respondent to whom such offers are extended.

Additional Procedures for Mass Arbitration Filings

The following provisions set forth additional procedures that apply to mass arbitration filings. If ten (10) or more similar claims are asserted against the Company by the same or coordinated attorneys or are otherwise coordinated, consistent with the definition and criteria of "Mass Filings" set forth in the NAM Rules, you and we understand and agree that these additional procedures shall apply and the resolution of your dispute might be delayed.

You and we agree that throughout this process, our attorneys shall meet and confer to discuss modifications to these procedures based on the particular needs of the Mass Filing. You and we agree to make all reasonable efforts to maximize the integrity and efficiency of arbitration to resolve Disputes between us, particularly those involving Mass Filings, and further commit to acting in good faith to adhere to the procedures established in this section.

The parties further agree that application of these Mass Filing procedures has been reasonably designed to result in an efficient and fair adjudication of claims.

Bellwether Arbitrations for Mass Filings. Bellwether proceedings are encouraged by courts and arbitration administrators where there are multiple disputes involving similar claims against the same or related parties. The parties shall select six individual arbitration claims (three per side), designated as the "Initial Test Cases," to proceed to arbitration. Only the Initial Test Cases shall be filed with the arbitrator. All other claims shall be held in abeyance.

This means that the filing fees will be paid only for the Initial Test Cases; for all other demands for arbitration in a Mass Filing, the filing fees (together with any arbitrator consideration of the other demands) will be held in abeyance, and neither you nor the Company will be required to pay any such filing fees.

You and the Company also agree that neither you nor we shall be deemed to be in breach of this Arbitration Agreement for failure to pay any such filing fees, and that neither you nor we shall be entitled to any contractual, statutory, or other remedies, damages, or sanctions of any kind for failure to pay any such filing fees.

If, pursuant to this subsection, a party files non-Bellwether Arbitrations with the arbitration provider, the parties agree that the arbitration provider shall hold those demands in abeyance and not refer them to the arbitrator pending resolution of the Initial Test Cases. Unless the claims are resolved in advance or the schedule is extended, the arbitrators will render a final award for the Initial Test Cases within 120 days of the initial pre-hearing conference.

Global Mediation in Mass Filings. Following the resolution of the Initial Test Cases, the parties agree to engage in a global mediation of all the remaining individual arbitration claims comprising the Mass Filing ("Global Mediation"), deferring any filing costs associated with the non-Initial Test Cases until the Initial Test Cases and subsequent Global Mediation have concluded.

After the final awards are provided to the mediator in the Initial Test Cases, the mediator and the parties shall have 90 days to agree upon a substantive methodology and make an offer to resolve the outstanding cases. If the Parties are unable to resolve the outstanding claims during the Global Mediation, the Parties may choose to opt out of the arbitration process and proceed in court with the remaining claims.

Notice of the opt-out shall be provided in writing within 60 days of the close of the Global Mediation. Absent notice of an opt-out, the arbitrations may then be filed and administered by the arbitration provider. You and we also acknowledge that any applicable statute of limitations shall be tolled pending resolution of the global mediation process.

Severability. If any part of this Mass Arbitration provision is declared invalid, void, or unenforceable, then that provision is severable from the Arbitration Agreement and shall not affect the validity and enforceability of the remaining provisions.

Arbitration Agreement Survival

This Arbitration Agreement will survive the termination of your relationship with the Company, including any revocation of consent or other action by you to end your participation in the Service or any communication with the Company.

Severability

If any portion of this Arbitration Agreement is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The remainder of this Arbitration Agreement shall continue to be enforceable and valid according to the terms contained herein.

13. GOVERNING LAW

The laws of the Republic of Cyprus, excluding its conflict-of-law rules, govern these Terms and your use of the Service, except where the mandatory substantive law of the jurisdiction in which a claim arose requires otherwise. Your use may also be subject to local, state, national, or international law.

To the extent a dispute is permitted to proceed in court under these Terms, the action will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you irrevocably submit to personal jurisdiction in those courts and waive any objection based on inconvenient forum, except where mandatory consumer law provides otherwise.

For EEA and UK Residents

Nothing in these Terms deprives you of mandatory consumer-protection rights granted by the law of your country of habitual residence.

If you have a complaint, contact us at support@pdfleader.com. The Company does not participate in an alternative dispute-resolution scheme except where required by law.

You may bring proceedings before the competent courts of your habitual residence in the EEA or United Kingdom where mandatory law grants that right. The Company will submit to those courts as required. To the extent applicable to EEA or UK consumers, these Terms and related disputes are governed by the law of England and Wales without depriving you of mandatory local protections. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For California Residents

Under California Civil Code Section 1789.3, California residents may submit complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

14. LIMITATION ON CLAIMS PERIOD

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim first arose. A claim not filed within that period is permanently barred. This section is a separate legally binding agreement between you and the Company.

15. MISCELLANEOUS PROVISIONS

No Waiver

A failure or delay by the Company to exercise a right or enforce a provision does not waive that right or provision. A partial exercise of a right does not prevent further exercise. A waiver is effective only for the specific matter stated in a written waiver authorized by the Company.

Severability

Except where a different severability rule is stated in the Arbitration Agreement, if a provision is held invalid, illegal, or unenforceable, it will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed. The remaining provisions will continue in full force.

Entire Agreement and Priority

These Terms and the incorporated policies and transaction-specific disclosures constitute the entire agreement between you and the Company concerning the Service and supersede prior or contemporaneous understandings on the same subject. A change is binding only as provided in these Terms or in another written agreement authorized by the Company.

Assignment

The Company may assign, transfer, or novate its rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets, financing, corporate reorganization, or transfer of the Service. You may not assign your rights or obligations without the Company's prior written consent. Notice posted through the Service or sent to your registered contact information may constitute notice of an assignment where permitted by law.

Electronic Communications and Signatures

You agree to receive notices, disclosures, receipts, and other communications electronically, including by email, account message, platform notification, or website posting. Electronic communications satisfy legal requirements that a communication be in writing, to the extent permitted by law.

By selecting a button or checkbox such as "SUBMIT," "CONTINUE," "REGISTER," "BUY," "START," or "I AGREE," you indicate an intent to be legally bound, and your electronic action constitutes an electronic signature.

Those providers may process information as described in our Privacy Policy and applicable agreements.
